1. General

The website www.elipaz.com, including all of its Hebrew and English pages (the "Site"), is operated by Elipaz Software ("Elipaz", "we" or "us"), whose offices are at HaNagar 24, Floor 6, Hod HaSharon, Israel. You can reach us by phone at +972-9-741-6556 or by email at info@elipaz.com.

These Terms of Use (the "Terms") apply to any use of the Site, including browsing its content, contacting us, using the Studio (our client area) and applying for a job. Your use of the Site is also subject to our Privacy and Cookie Policy, which explains what information we collect and how we use it.

Headings are for convenience only and do not affect the interpretation of the Terms.

These Terms are also published in Hebrew. If there is any inconsistency between the Hebrew and English versions, the Hebrew version prevails.

2. Acceptance of the Terms

By using the Site you confirm that you have read and agree to these Terms. If you do not agree to all or part of the Terms, please do not use the Site.

If you use the Site on behalf of a company, organization or other entity, you confirm that you are authorized to act on its behalf, and the Terms also apply to that entity.

Some uses are subject to additional terms: entering the Studio requires accepting the Studio terms of use (section 5), and applying for a job requires the consent shown in the application wizard (section 6). If these Terms conflict with the additional terms, the additional terms govern that use.

A signed agreement between Elipaz and a client prevails over these Terms on any matter it covers.

3. Our services and the information on the Site

Elipaz develops websites and software. The Site presents general information about our services, as described on the service pages, about projects we have delivered and about how to contact us.

The information on the Site is general and for illustration only. It is not a binding offer, not a commitment to any price, schedule or scope of work, and not professional advice on any specific matter. An engagement for work is made only through a written agreement or quote approved by both parties, and only its terms are binding.

We make an effort to keep the information on the Site accurate and up to date, but it may contain errors, inaccuracies or outdated information. We may change, update or remove any content on the Site at any time, without notice.

Examples of work, client names, figures and statistics shown on the Site are for illustration, and showing them does not guarantee a similar result in another project.

4. Contacting us

You can contact us through the contact forms on the Site, by phone, by email and on WhatsApp, using the button shown on the Site's pages.

  • When you use a contact form, please provide accurate and complete details, including your name and a way to reach you. Do not include passwords, credit card details or other sensitive information that the inquiry does not need.
  • The forms are protected by Google reCAPTCHA and by automated anti-spam checks. An inquiry identified as suspicious may be blocked. If your inquiry is blocked, you can contact us by phone or email.
  • The WhatsApp button opens a chat in WhatsApp, a service operated by a third party under its own terms and privacy policy. We record the click for statistical purposes, as described in the Privacy and Cookie Policy.
  • Sending an inquiry does not create an engagement between us and does not oblige us to offer a service. We try to reply to every inquiry, but we do not commit to a response time.
  • The forms and contact channels may not be used to send advertising, automated messages, or offensive or unlawful content.

5. The Studio: our client area

The Studio, at www.elipaz.com/designs/, is a closed area where Elipaz clients view the designs and versions of their projects, write comments, reply to comments and approve pages. The Studio is intended only for people Elipaz has given access to a project. The Studio and its terms of use are currently available in Hebrew only.

  • You sign in to the Studio with a one-time code sent to the email address or mobile number you gave us, and sometimes also through a personal link we sent you. On your first entry to each project, and after any update to the Studio terms of use, you will be asked to read and accept them.
  • The designs, files and information in the Studio are confidential. They are shown to you only for review and comments. You may not copy, distribute, publish or show them to a third party, or use them in any other way, without the prior written consent of Elipaz, unless our agreement says otherwise.
  • You are responsible for keeping your sign-in details safe: access to your email inbox and phone, the one-time codes and your personal link. Do not share them with others. If you suspect that someone else has signed in to the Studio as you, tell us immediately.
  • You are responsible for the content of the comments and replies you write. Comments are visible to the Elipaz team and to other clients from your organization who are assigned to the same project, and they may be passed to our work tools so that we can make the requested changes. Do not include other people's personal information, passwords or information you are not entitled to share.
  • You may not try to access projects that are not assigned to you, bypass security or sign-in mechanisms, run automated tools to collect content, upload malicious code or use the Studio in a way that disrupts its operation.
  • We may suspend or end access to the Studio, to a specific project or for all users, for example when a project ends or if we suspect misuse.

The Studio terms of use, shown on entry to each project, set out these rules in detail. If they conflict with these Terms, the Studio terms of use govern the use of the Studio.

6. Jobs page and job applications

Open positions at Elipaz are published on the Site's jobs page, and you can apply for them through an online wizard. The jobs page and the application wizard are currently available in Hebrew only.

  • Publishing a position is not a job offer. Submitting an application does not oblige Elipaz to invite you to an interview, to reply to you or to hire you. Elipaz may change, suspend or close a position at any time.
  • You must provide accurate, complete and current details and apply only in your own name. You may not apply on behalf of another person or provide false details.
  • During the application, verification codes are sent to the email address and mobile number you entered, to confirm that they are yours. You can submit the application only after both are verified.
  • You may attach a CV in PDF or Word format, up to the size shown in the wizard. Attach only a file you are entitled to provide, and do not include other people's personal information beyond what is needed (for example, references who agreed to be included). Every file is checked automatically. A file with active content (such as macros or scripts), a password-protected file, a damaged file or a file in which malicious code is found is rejected.
  • Your details and CV are kept in our candidate database and used for the recruitment process for the position and for similar positions, as described in the job applicants section of the Privacy and Cookie Policy.

7. Intellectual property

All rights in the Site and its content, including texts, design, graphics, images, videos, software code, logos and trademarks, belong to Elipaz or to those who licensed Elipaz to use them. Using the Site does not give you any right in this content.

You may browse the Site's content, and print or save a copy for personal, non-commercial use. You may not copy, reproduce, distribute, publish, modify, translate, create derivative works from or make commercial use of the content without the prior written consent of Elipaz, except as permitted by law.

Third-party names, logos and trademarks shown on the Site (for example Umbraco, Microsoft, Google and WhatsApp) belong to their owners and are mentioned for identification only.

Rights in the designs and deliverables shown to a client in the Studio are governed by the agreement between Elipaz and that client. Unless the agreement says otherwise, they remain with Elipaz.

8. Acceptable use

When using the Site, you may not:

  • act in breach of the law or of these Terms;
  • try to break into the Site's systems, bypass security measures, test for vulnerabilities without our prior written permission, or access areas and information not intended for you;
  • run automated tools to collect information (scraping), send requests at a volume that overloads the Site, or disrupt its operation;
  • upload or send files or code that may harm the Site, its users or third parties;
  • impersonate another person or entity, or provide false details;
  • use the Site to send advertising, spam, or offensive, threatening or infringing content.

We may block access to the Site, or to parts of it, for anyone who breaches these Terms, in addition to any other remedy available to us by law.

9. Third-party links and services

The Site includes links to third-party websites and services, including WhatsApp, Waze, social networks and work tools linked from the Studio (such as Figma and Google Drive). The Site also relies on third-party services to operate, such as Google reCAPTCHA and Google Analytics, and on content and infrastructure providers.

We do not control these websites and services and are not responsible for their content, their availability or the way they use information. Their use is subject to the terms and privacy policies of their operators. A link to an external website does not mean that we recommend or endorse it.

10. Limitation of liability

The Site and its content are provided "as is" and "as available". Elipaz does not undertake that the Site will operate without interruptions or errors, that it will be protected against unauthorized access, viruses or other harmful components, or that the information on it will be complete, accurate and up to date.

To the fullest extent permitted by law, Elipaz, its employees and anyone acting on its behalf will not be liable for any damage, direct or indirect, caused to you or to any third party as a result of using the Site, being unable to use it, relying on its content, or using third-party services and websites. Among other things, we are not liable for loss of data, loss of profits or loss of business opportunities.

Nothing in these Terms limits any liability that cannot be limited or excluded by law. The liability of Elipaz to its clients in projects is governed by the agreement signed with them.

11. Indemnity

You agree to indemnify Elipaz, its employees and anyone acting on its behalf for any damage, loss, expense or payment, including reasonable legal fees and costs, that they incur as a result of your breach of these Terms, your use of the Site in breach of the law, or content you provided or uploaded to the Site. Elipaz will notify you of any such demand or claim and allow you to defend against it.

12. Availability of the Site and changes

We may change the Site, its structure, content and services, add or remove features, and suspend the Site or parts of it, temporarily or permanently, at any time. We try to schedule planned maintenance so that it disrupts use as little as possible, but we do not commit to doing so.

We may update these Terms from time to time. The updated version will be published on this page, with the date of the update at the top. Continued use of the Site after publication means that you accept the updated version. A material change to the Studio terms of use will be presented to clients for renewed acceptance on their next entry to each project.

13. Governing law and jurisdiction

These Terms, the Site and any use of it are governed solely by the laws of the State of Israel, without regard to their conflict of laws rules.

The competent courts in the Tel Aviv district have exclusive jurisdiction over any matter or dispute relating to these Terms, the Site or its use.

14. General provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions stay in effect. If we do not enforce a provision, this is not a waiver of our right to enforce it later.
